Terms of Service

1. Who we are and what this covers

OnyxDine is a restaurant management platform operated by Onyx Enterprises, Montréal, Québec, Canada ("Onyx", "we"). These terms cover the web platform, the mobile and TV apps, and related services (together, the "Service"). By creating an account you agree to them on behalf of the business you represent.

2. Accounts

You must be at least 18 and authorised to bind your business. Keep your login details confidential; you are responsible for activity under your account and your staff accounts. Tell us promptly at hello@onyxdine.com if you suspect unauthorised access.

3. Plans, trial and billing

1. Free trial. New accounts get a 14-day trial. A payment card is required to start it; nothing is charged during the trial.
2. Automatic renewal. Unless you cancel before the trial ends, your chosen plan starts automatically and renews monthly (or annually, if selected). We send a reminder with the amount, date and card on file at least 2 days before the first charge.
3. Billing date. Subscriptions bill on the 5th of each month. Your first invoice is prorated from the end of your trial to the next billing date.
4. Changes. Upgrades take effect immediately and are prorated. Downgrades and removed add-ons are prorated as a credit applied to your next invoice.
5. Merchant of record. Payments are processed by Paddle.com Market Ltd, which sells the subscription to you, issues receipts and collects applicable taxes. Paddle's checkout terms apply to the payment transaction.
6. Prices. In Canadian dollars, excluding tax. We may change prices with at least 30 days' notice by email; changes apply from your next renewal after the notice period.
7. Failed payments. If a charge fails we retry and notify you. If payment isn't received within 14 days we may suspend the account until it is.

4. Cancellation

You can cancel any time from your dashboard or the link in any billing email. Cancellation takes effect at the end of the current billing period; you keep access until then. See the Cancellation & Refund Policy for refunds.

5. Your data

Your menus, orders, customers, staff records and reports belong to you. You grant us the licence needed to host, process, back up and display that data to run the Service. We do not sell your data or use it for advertising. You can export your data at any time from the dashboard, and for 30 days after cancellation on request. Our Privacy Policy explains how personal information is handled.

6. Acceptable use

Don't use the Service to break the law, infringe others' rights, send spam, attempt to access other customers' data, reverse-engineer the software, or resell it without a written agreement. We may suspend accounts that put the platform or other customers at risk, and will tell you why.

7. Third-party services

Payment gateways, SMS/WhatsApp providers, delivery platforms and app stores are operated by others under their own terms. We integrate with them but aren't responsible for their availability or conduct.

8. Availability and support

We aim for 99% monthly uptime for the web platform, excluding scheduled maintenance announced in advance. Support is available 8am–12am ET, 7 days a week by in-app chat and email. Order- and POS-affecting issues are prioritised.

9. Intellectual property

The Service, its software, design and trademarks are owned by Onyx Enterprises or its licensors. Your subscription gives you a non-exclusive, non-transferable right to use it for your business while your account is active.

10. Warranties and liability

The Service is provided "as is". To the fullest extent permitted by law, we exclude implied warranties and are not liable for indirect or consequential loss, lost profits, or loss of data beyond what our backups can restore. Our total liability for any claim is limited to the fees you paid in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited under Québec or Canadian law, including under the Québec Consumer Protection Act where it applies.

11. Ending the agreement

Either side may end it: you by cancelling, us with 30 days' notice or immediately for a serious breach. On termination your access ends at the period end and your data remains exportable for 30 days, after which it is deleted from live systems and rotated out of backups.

12. Changes to these terms

We may update these terms. Material changes are notified by email at least 30 days before they take effect. Continued use after that date means acceptance.

13. Law and disputes

These terms are governed by the laws of Québec and the federal laws of Canada applicable there. Disputes go first to hello@onyxdine.com, subject "Legal"; if unresolved within 30 days, the courts of Montréal have jurisdiction, without limiting any consumer rights you may have where you live.
